Pvt Ltd vs LLP vs OPC: Which Structure Fits Your Startup?

Adv. Rohan Sethi28 Aug 2026 2 min read

Liability, compliance cost, funding readiness and tax treatment compared side by side — so you pick the right structure on day one.

Choosing the wrong structure in year one can cost you lakhs in conversion costs later. Here is the honest comparison.

Private Limited Company: best if you plan to raise funding, issue ESOPs or scale aggressively. Requires 2 directors, annual ROC filings, board meetings and audited financial statements. Credibility with banks and investors is highest.

LLP (Limited Liability Partnership): best for professional services and partner-run businesses. Lower compliance (no audit until turnover crosses ₹40 lakh or capital contribution ₹25 lakh), flexible profit sharing, and limited liability protection.

OPC (One Person Company): best for solo founders who want company benefits without a second director. One compulsory nominee, same ROC compliance as a Pvt Ltd, but you cannot convert to a Section 8 company or transfer shares easily.

On taxes, all three are taxed similarly for business income; the differences show up in dividend distribution tax (companies) versus partner drawings (LLP). Our recommendation: if external funding is on the horizon, start as a Pvt Ltd. If not, LLP gives you 80% of the benefits at 40% of the compliance cost.
